Corporate and securities law and regulations have real implications for the future growth potential of businesses and are thus relevant to the issue of entrepreneurship. Many small ﬁrms are formed with at least a partial eye toward becoming large ﬁrms, and the road to doing so almost always involves consideration of business form and capital structure.
